1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) govern your access to and use of the services, facilities, websites, booking systems, events, workshops, exhibitions, consultations, and related offerings provided by Northstar Art Hub (“Northstar Art Hub,” “we,” “us,” or “our”).

By accessing, booking, purchasing, attending, or otherwise using any of our services, you agree to be bound by these Terms and all applicable laws and regulations of Canada, including applicable provincial and federal laws. If you do not agree to these Terms, you must not use our services.

These Terms apply to all users, including visitors, customers, workshop participants, artists, studio renters, event attendees, and any other individuals or entities interacting with Northstar Art Hub.

2. Scope of Services

Northstar Art Hub is an art-hub business offering the following services, which may be updated, expanded, modified, suspended, or discontinued at our discretion:

Certain services may be subject to additional terms, waivers, registration requirements, age restrictions, capacity limits, safety rules, or venue-specific policies. In the event of a conflict between these Terms and any service-specific terms, the service-specific terms will govern to the extent of the conflict.

We do not guarantee that any particular artist, instructor, exhibition, artwork, workshop, studio, or event will be available at all times. Descriptions, images, schedules, and pricing are provided for general information only and may change without notice.

3. User Obligations and Responsibilities

You agree to use our services lawfully, respectfully, and in accordance with all posted rules, instructions, and safety requirements. Without limiting the foregoing, you agree that you will not:

You are responsible for ensuring that any minors under your supervision comply with these Terms and all applicable safety rules. If you attend an event, workshop, or studio rental, you are responsible for your own personal belongings and for any damage caused by you or your guests, except to the extent caused by our negligence or willful misconduct.

Where applicable, you must comply with any health, safety, accessibility, or conduct policies posted on-site or communicated before or during the service.

4. Payment Terms and Conditions

All fees, charges, deposits, and taxes will be disclosed at the time of booking, purchase, or registration, unless otherwise stated. Prices are in Canadian dollars unless expressly indicated otherwise.

You agree to pay all amounts due in full and on time using an accepted payment method. We may use third-party payment processors, and your use of such processors may be subject to their terms and privacy policies.

If a payment is declined, reversed, charged back, or otherwise not successfully completed, we may suspend access to services and recover any related costs, including bank fees, chargeback fees, and collection costs to the extent permitted by law.

5. Cancellation and Refund Policy

Our cancellation and refund policy may vary depending on the type of service, booking channel, and any service-specific terms provided at the time of purchase. Unless a different policy is stated for a particular service, the following general rules apply:

We reserve the right to cancel, reschedule, or modify any service due to low attendance, safety concerns, artist or instructor availability, venue issues, operational needs, or force majeure events. In such cases, our sole obligation may be to offer a rescheduled date, credit, or refund at our discretion, subject to applicable law and any mandatory consumer protection requirements.

Nothing in these Terms limits any non-waivable rights you may have under applicable Canadian consumer protection laws. If a refund is required by law, it will be processed in accordance with applicable legal requirements.

6. Liability Limitations

To the fullest extent permitted by applicable law, Northstar Art Hub, its directors, officers, employees, contractors, artists, instructors, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities arising out of or related to your use of our services.

To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the services shall not exceed the amount you paid to Northstar Art Hub for the specific service giving rise to the claim in the three (3) months preceding the event giving rise to liability, or CAD $100, whichever is greater, except where liability cannot be limited under applicable law.

We do not guarantee that our services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. You acknowledge that attendance at exhibitions, workshops, events, and studio spaces may involve inherent risks, including but not limited to slips, trips, falls, contact with tools or materials, allergic reactions, and damage to personal property. You assume all risks associated with participation to the extent permitted by law.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence where such limitation is not permitted, or any liability that cannot be excluded under applicable Canadian law.

7. Intellectual Property Rights

All content, materials, designs, text, graphics, logos, photographs, videos, audio, software, trademarks, service marks, and other intellectual property made available by Northstar Art Hub are owned by or licensed to Northstar Art Hub or the relevant rights holder and are protected by applicable intellectual property laws.

You may not copy, reproduce, modify, distribute, display, perform, publish, license, create derivative works from, or otherwise exploit any of our intellectual property without prior written consent, except as expressly permitted by law.

Any artwork, images, written materials, workshop handouts, curation concepts, framing designs, or other deliverables created by Northstar Art Hub may remain our intellectual property unless a written agreement states otherwise. Where ownership or usage rights are transferred or licensed to you, such transfer or license will be limited to the scope expressly agreed in writing.

If you submit or upload content to us, including images, testimonials, reviews, or project materials, you grant Northstar Art Hub a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute such content for operational, promotional, archival, and service-related purposes, subject to applicable privacy laws and any written restrictions you provide and we accept.

You represent that you have all necessary rights to any content you provide and that such content does not infringe the rights of any third party.

8. Data Protection and Privacy

Northstar Art Hub collects, uses, discloses, and retains personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial privacy legislation.

We may collect personal information such as your name, contact details, payment information, booking history, preferences, attendance records, and communications with us for purposes including:

9. Force Majeure

Northstar Art Hub shall not be liable for any delay, failure, interruption, or inability to perform any obligation under these Terms where such delay or failure is caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, epidemic, pandemic, public health emergency, labour disputes, power outages, equipment failures, war, terrorism, civil unrest, government action, transportation disruptions, supply shortages, or failure of third-party service providers.

During a force majeure event, we may suspend, postpone, modify, or cancel services without liability to the extent permitted by law. We will use commercially reasonable efforts to resume services as soon as practicable.

10. Changes to Terms

We may update or revise these Terms from time to time to reflect changes in our services, business practices, or legal requirements. The updated Terms will be effective when posted on our website, displayed at our premises, or otherwise communicated to you, unless a later effective date is stated.

Your continued use of our services after the effective date of any revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using our services.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them or to your use of our services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or our services, subject to any mandatory rights you may have under applicable law.

13. Severability Clause

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed or limited to the minimum extent necessary so that the remaining provisions continue in full force and effect to the maximum extent permitted by law.

No failure or delay by Northstar Art Hub in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy.

By using the services of Northstar Art Hub, you acknowledge that you have read, understood, and agreed to these Terms of Service.
